1. Acceptance of Terms

By accessing or using Relay AI ("the Service") operated by nextgenrelay.com ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Relay AI provides a unified API gateway that proxies requests to third-party AI model providers. The Service includes a web dashboard, API endpoints, and credit-based billing system. All AI model outputs are generated by third-party providers; we do not guarantee accuracy, completeness, or suitability of any output.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your API keys and account credentials. You agree to provide accurate and complete information during registration and to update it as necessary.

4. Credits and Billing

The Service operates on a credit-based system. Credits are purchased through subscription plans or one-time top-ups. Subscription credits reset at the start of each billing cycle. Top-up credits do not expire. All fees are non-refundable unless required by applicable law. We reserve the right to change pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Generate content that is harmful, abusive, harassing, or promotes violence
Attempt to reverse-engineer, decompile, or disassemble the Service
Share API keys or account credentials with unauthorized parties
Exceed rate limits or attempt to circumvent usage restrictions
Use the Service to build a competing product or service

6. Intellectual Property

The Service, including its software, design, and documentation, is owned by Relay AI and protected by intellectual property laws. You retain ownership of any content you submit to the Service. We do not claim ownership of outputs generated by the Service based on your inputs.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAY AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

We may suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon termination unless required otherwise by applicable law.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
